Terms of service

Quotes and orders

• Each service is covered by a free quote stating its scope, price, timeline, the number of revisions included and how long the offer is valid.
• An order is confirmed when the client accepts the quote in writing (signature, email or message) and, if the quote provides for it, pays the deposit.

Prices and payment

Prices are those of the accepted quote, in the currency stated. The quote also sets out the payment terms: deposit, installments and payment methods.

If a payment is late, work may be paused until it is settled. Final files are delivered after full payment.

Timelines

Timelines start once the quote is accepted, any deposit is paid and the required materials are received (texts, photos, logos, access). Any delay in providing these materials or in approvals pushes delivery back by the same amount.

Revisions

The number of revision rounds included is stated in the quote. Beyond that, or if the brief changes, additional revisions are quoted and carried out once the client agrees.

Materials provided by the client

The client guarantees that they hold the rights to the texts, images, logos and trademarks they provide, and is responsible for them. The client checks that the information shown on the materials is accurate.

Approval and final proof

Before anything is printed or published, the client approves the final version (final proof). This approval is binding: an error not reported at this stage (spelling, date, number, price) can no longer be held against the designer, and rework after printing is charged.

Intellectual property

• The work remains the property of Samuel Amegnaglo until the service is paid in full.
• After full payment, the client receives the final files and the right to use them for the uses, media and territories set out in the quote.
• Rejected concepts, sketches and working files remain the property of Samuel Amegnaglo. Source files (for example .ai, .psd or .aep) are provided only if the quote includes them.

Portfolio

Unless the client objects in writing, Samuel Amegnaglo may show delivered work in this portfolio and on professional social networks, once the client has made it public. A project declared confidential is never shown.

Cancellation

If the client cancels an order in progress, work already done remains payable, in proportion to progress; the deposit paid is kept up to the value of that work.

Liability

Samuel Amegnaglo performs the services with care and according to professional standards (best-efforts obligation). Liability cannot exceed the amount of the service concerned, and does not cover how the client uses the work after delivery, nor printing defects by a third-party printer.

Disputes

These terms are governed by Togolese law. In the event of a disagreement, the parties first seek an amicable solution; failing that, the courts of Lomé have jurisdiction.
